Terms & Conditions
This agreement outlines the terms and conditions between Fuller Radiance LLC (“Fuller Radiance”) and any submitting designer (the "Designer") in relation to submitted design files intended for commercial production and sale. By submitting an application form through the official submission form or portal, the Designer acknowledges and agrees to all terms and conditions outlined in this agreement.
1. Original Work Requirement

All submitted designs must be entirely original and created solely by the Designer.

Designs must not include, replicate, remix, or derive from any third-party intellectual property, copyrighted material, patented or trademarked content, or previously published work by others.

The Designer assumes full legal responsibility for the originality and ownership of submitted materials.

Fuller Radiance shall not be held liable for any legal claims, disputes, or damages arising from infringement, and will defer all such claims directly to the Designer.
2. Commercial License Grant

By submitting a design, the Designer grants Fuller Radiance a perpetual, worldwide, non-exclusive license to manufacture, market, and sell physical products based on the submitted design.

This license includes the right for Fuller Radiance to use the design name, images, descriptions, and the Designer’s name, image, and likeness for marketing, packaging, and promotional purposes.

Ownership of the digital design file remains with the Designer unless otherwise agreed in writing.

Fuller Radiance is not required to return files or remove past marketing material following termination of partnership unless stated in a separate written agreement.
3. Compensation and Royalties

The Designer shall not receive a guaranteed base payment, stipend, or hourly wage for submitted designs.

All compensation shall be based on royalties derived from actual product sales.

The royalty percentage shall be a mutually agreed percentage (typically ranging from 2–10%) of net sales revenue of their submitted designs, defined as gross product sales minus production costs, taxes, and platform fees.

Royalties will be disbursed on a monthly basis once the Designer's earned balance reaches a minimum payout threshold of $15.

A one-time setup cost may be deducted from the Designer's earnings before royalties are calculated toward the payout threshold. This includes platform listing fees, printing calibration, material tests, and administrative time. This setup cost will be itemized and applied only once per submitted design.

The setup cost shall not result in a negative balance owed by the Designer, but will reduce the royalty total available toward payout threshold eligibility.

Fuller Radiance will maintain transparent internal records of sales and reserves the right to revise payout schedules if necessary.

Fuller Radiance will provide data of sales and calculated payout should the designer request it.
4. Design Modifications

Fuller Radiance reserves the right to make minor modifications to submitted designs to ensure production viability, customer satisfaction, or material compatibility.

Significant alterations that materially affect the core visual identity of a design shall not be made without prior consultation with the Designer.
5. Product Listing and Lifecycle

Fuller Radiance retains full discretion regarding which designs are produced, listed, discontinued, or marketed.

Submission of a design does not guarantee commercial release or sustained listing.
-
Inventory produced prior to design discontinuation may continue to be sold.
-
Inventory produced before discontinuation that is sold afterward shall be included in the Designer’s final royalty payout.
6. Termination of Partnership

Termination of partnership may be initiated by the Designer via written notice (email, text message, or formal letter) at any time. Verbal notice (e.g., phone call) must be followed by a written confirmation.

Upon receipt of such request, Fuller Radiance will immediately cease production of that design and remove listings related to the design within 30 business days.

Royalties owed for products sold prior to and during the 30-day phase-out period will remain payable according to the normal disbursement schedule.

If the Designer’s royalties at the end of the 30-day phase-out period do not meet the minimum payout threshold at the time of termination, any earned amount below the threshold shall be forfeited and considered void, and no payout shall be issued.

Fuller Radiance may terminate the partnership at any time for any reason, including design inactivity, legal concerns, or breach of terms. In such cases, the same forfeiture clause applies if the payout threshold has not been met.
7. Representation and Conduct

Designers may identify and market themselves as "Partner Designers" or "Featured Designers" of Fuller Radiance, provided that public representation remains professional and accurate.

Fuller Radiance reserves the right to suspend or permanently end a designer partnership in the event of design plagiarism, breach of contract, public misconduct, or reputational harm to Fuller Radiance.

The Designer may be held financially liable for any reputational damage, loss of sales, or legal exposure caused to Fuller Radiance as a result of misconduct, fraudulent submissions, or violation of the terms in this agreement.

Fuller Radiance reserves the right to pursue damages or reimbursement in accordance with applicable law in the event of reputational or financial harm.
8. Legal Governance

This agreement does not constitute employment, contract work, or agency representation. It defines a Licensing Partnership only.

Any disputes arising from this agreement shall be governed by the laws of the State of Iowa.

In the event of intellectual property claims, patent & trademark infringements, or copyright violations, all liability shall rest solely with the Designer. Fuller Radiance will defer legal responsibility and associated actions to the Designer upon notice of such claims.
